Chapter 15 - The Offer

Calvin requested a meeting.

Not through Andre.

Through attorneys.

Laura recommended accepting.

They met in a conference room at her office.

Calvin arrived with attorney Martin Shaw.

Andre brought Rachel.

Calvin looked at her.

“This is company business.”

Rachel answered before Andre could.

“Our money became company business when seventy-four thousand dollars disappeared.”

Calvin’s jaw tightened.

Andre almost smiled.

The meeting began formally.

Martin spoke first.

“My client believes this dispute can be resolved without litigation.”

Laura replied, “By returning funds?”

Calvin leaned back.

“By restructuring.”

Andre said nothing.

Martin slid a document across the table.

Buyout proposal.

Calvin offered to purchase Andre’s sixty-percent company interest.

Price: $480,000.

Andre stared.

The company, even under current distress, was worth far more.

Rachel read the next section.

The buyer would assume certain company liabilities.

Calvin would also release Andre from future claims regarding prior financial decisions.

Laura almost laughed.

“That clause is extraordinary.”

Martin replied, “It creates finality.”

“It creates immunity language without calling it immunity.”

Calvin looked at Andre.

“You want out.”

Andre’s expression remained flat.

“You seem very sure.”

“You hate this.”

“No. I hate what happened to it.”

Calvin leaned forward.

“You were always better in the field. Dad forced you into management.”

Andre watched him.

“Dad forced us both into roles.”

Calvin nodded.

“Exactly. So let me fix it.”

Rachel spoke.

“You mean own it.”

Calvin ignored her.

“Andre, take the money. Pay back your savings. Protect your house. Walk away.”

Andre asked, “Where would you get four hundred eighty thousand dollars?”

Calvin hesitated.

“Financing.”

“From whom?”

“That isn’t relevant.”

“It is if the company is collateral.”

Calvin’s face hardened.

Andre continued.

“Or the warehouse.”

Silence.

Martin intervened.

“We’re not here to speculate.”

Andre slid the purchase option across the table.

Calvin stared at it.

For the first time, confidence cracked.

“You searched private records.”

Laura said, “Public property records.”

Calvin looked at Andre.

“You have no idea what you’re doing.”

Andre leaned back.

“Then explain it.”

Calvin said nothing.

“You planned to buy the warehouse through CH Development.”

“It was an investment.”

“With what money?”

Calvin’s lips tightened.

“Your father never understood development.”

Andre almost laughed.

“Our father is dead.”

“Exactly. And you’ve been worshipping a dead man’s business model while the industry changes.”

Rachel watched the anger build.

Calvin continued.

“You think that warehouse is sentimental. I think it’s twenty acres near an expanding commercial corridor.”

Andre finally understood another layer.

It had never been only resentment.

Calvin wanted the land.

The warehouse property had been purchased by their father thirty years earlier for less than $300,000.

It was now worth almost four million.

Andre whispered, “You were going to bankrupt the company and buy the property.”

Calvin’s eyes flashed.

“I was going to save value from a dying business.”

“By secretly transferring money to yourself?”

“No.”

Laura placed a hand near Andre’s arm, reminding him not to overreach.

Calvin stood.

“You want to believe I’m some villain because that makes your failures easier.”

Andre stayed seated.

“My failure was trusting you.”

Calvin flinched.

That sentence hurt him.

Good, Andre thought.

Then hated himself for thinking it.

Calvin gathered his papers.

Before leaving, he looked at Rachel.

“You think he’s telling you everything now?”

Andre froze.

Rachel’s eyes narrowed.

“What does that mean?”

Calvin smiled faintly.

“Ask your husband why he really transferred the seventy-four thousand.”

Andre stood.

“Calvin.”

Rachel looked at him.

“What does he mean?”

Andre’s face revealed too much.

Calvin saw it.

“There.”

Martin whispered urgently, “We’re leaving.”

Calvin followed him out.

Rachel remained standing.

Andre closed his eyes.

Laura looked between them.

“I’m going to give you privacy.”

She left.

Rachel waited.

Andre spoke first.

“The company needed payroll.”

“You told me that.”

“It also needed a payment to keep the lender from freezing the credit line.”

“How much?”

“Fifty thousand.”

Rachel felt cold.

“And?”

“I transferred the full seventy-four because Calvin told me twenty-four would cover a lien release on one of the properties.”

Rachel’s voice shook.

“Which property?”

Andre said nothing.

“Andre.”

“The lake cabin.”

Rachel stared.

The cabin had belonged to Andre’s father.

Andre and Calvin inherited it jointly.

Jordan had spent every summer there since he was six.

“What lien?”

Andre looked ashamed.

“I thought Calvin borrowed against his half.”

“You thought?”

“He said he had.”

Rachel sat slowly.

“Was that true?”

“No.”

Andre’s voice became hollow.

“The lien was tied to CH Development.”

Rachel stared at him.

“So part of our savings didn’t save your company.”

Andre shook his head.

“It saved Calvin’s private project.”

“And you knew?”

“Not then.”

“When did you find out?”

“Two weeks ago.”

Rachel’s eyes filled.

Two weeks.

Meaning Andre had discovered the truth before the internet argument.

Before Rachel found the transfer.

Before their family meeting.

Before Andre declared there would be no more secrets.

“You stood at our dining table and promised no more secrets.”

“I know.”

“You already knew.”

“I was trying to verify—”

“No.”

Rachel stood.

“You were still deciding what truth I could handle.”

Andre could not defend himself.

Rachel picked up her purse.

“Where are you going?”

“Home.”

“Rachel.”

She turned.

“The worst part is not that Calvin lied to you.”

Her voice cracked.

“The worst part is that even after you learned what his lies cost us, you kept doing the same thing.”

She left.

Andre remained alone in the conference room.

The buyout offer sat in front of him.

For the first time, losing the company seemed less frightening than losing Rachel’s trust.
